A software services company looking for an early-stage round of investment from venture capital funds gets four offers. Two of them value the company at $10 million, one at $12.5 million and one at $20 million. Any of the offers would net the software company approximately $8 million in cash inflows. It would seem to be a no-brainer. Accept the investment at the highest so-called “pre-money” valuation. So why did the company pick the $12.5 million offer? It’s a question that Wharton management professor David Hsu explores in a recent paper measuring the impact of “intangibles” - such as reputation and access to networks - on VC relationships with entrepreneurs.

Philippon examines firms’ capital structure empirically and theoretically. He finds that firm value does not exactly fit the static trade-off model. Specifically he finds that low levels of debt are not accompanied by as low of firm values as would be expected. However, in other areas, what we have been teaching seems exactly right: more growth options means less debt, highly profitable firms do have higher target debt ratios (even though they may not all be at the targets), and expected future financing deficits makes financial slack more valuable. Interestingly, he also finds some evidence that managerial power (as proxied by CEO tenure) is associated with lower levels of debt. READ IT!!! [FinanceProfessor.com Annotation]

The past two decades have witnessed dramatic improvements to supply chain performance through lean manufacturing, just-in-time (JIT) inventory, ever-increasing velocity, extreme outsourcing, and related transformations. In the ten years from 1992 to 2002, the ratio of inventories to shipments in the US fell from 1.65 to 1.35. These are enormous numbers in the context of our multi-trillion dollar economy. At the same time, the complexity and length of supply chains have increased due to ever-greater out-sourcing and globalization. Today the material is acquired and integral processes are performed by a network of many dozens of “virtually integrated” firms, each master of its own specialty. We are getting more spread out, not just geographically, but also organizationally.
